These Terms of Use ("Terms") are a legal agreement between you ("you," "your," or "User") and Okiwaii LLC ("Company," "we," "us," or "our") governing your access to and use of the Veraison mobile application and any related content, features, and services (collectively, the "App").
By downloading, accessing, or using the App, you agree to these Terms and to our Medical Disclaimer and Privacy Policy, each incorporated by reference. If you do not agree, do not use the App.
You must be at least 18 years old and able to form a binding contract to use the App. The App is intended for adults and is not directed to children. By using the App, you represent that you meet these requirements.
The App is an educational and personal-tracking tool. It allows you to log information about your wellness routine and provides general educational content.
The App does not provide medical advice and is not a medical device. It does not diagnose, treat, cure, or prevent any condition; it does not prescribe, dose, recommend, adjust, or help you obtain any medication, hormone, peptide, or supplement; and it does not replace consultation with a qualified healthcare provider. See the separate Medical Disclaimer, which is a material part of these Terms.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for your own personal, non-commercial purposes. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from the App except as permitted by law.
You are responsible for any account you create, for keeping your credentials secure, and for all activity under your account. Notify us promptly at veraisonapp@proton.me of any unauthorized use.
Some features require a paid subscription billed through the Apple App Store.
You agree not to: use the App for any unlawful purpose; rely on the App for medical decisions; attempt to disrupt or gain unauthorized access to the App or its systems; or upload unlawful, infringing, or harmful content.
You retain ownership of the information you log. You grant us a limited license to process that information solely to operate and provide the App, as described in our Privacy Policy. You are responsible for the accuracy of what you log. Do not rely on the App as a medical record or as a substitute for records kept by your healthcare provider.
The App, including its name, the Veraison brand, the icon, design, text, and all related content, is owned by Okiwaii LLC or its licensors and is protected by intellectual-property laws. These Terms grant you no rights to our trademarks or branding.
The App may reference or link to third-party content or services. We do not control and are not responsible for third-party content, products, or practices. Your dealings with third parties are solely between you and them.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKIWAII LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR USE OF — OR INABILITY TO USE — THE APP, INCLUDING ANY HEALTH-RELATED DECISION YOU MAKE. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless Okiwaii LLC from claims arising out of your misuse of the App or breach of these Terms, to the extent permitted by law.
We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. Any dispute arising from these Terms or the App will be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. Material changes will be indicated by updating the "Last Updated" date and, where appropriate, by in-App notice. Continued use after changes means you accept the revised Terms.
These Terms are between you and Okiwaii LLC, not Apple. Apple is not responsible for the App or its content. Apple is a third-party beneficiary of these Terms and may enforce them against you. You agree to comply with the Apple Media Services Terms and the App Store Usage Rules.
